The ANYmal Research community develops, documents, and shares software and other information to improve and extend the capabilities of the ANYmal robotic platform (“ANYmal Robot”). The community is supported and driven by ETH Zurich and ANYbotics AG (“Hosts”).
By signing this ANYmal Researcher Agreement (“Agreement”) you become a member of the ANYmal Research community (“ANYmal Researcher”).
As an ANYmal Researcher, you may be given access to ANYmal software, algorithms, technical drawings, documentation, or other data (“ANYmal Information”) to operate or simulate ANYmal Robot. This may include ANYmal Research software developed by other ANYmal Researchers as well as services on the ANYmal Research web pages. ANYmal Information that is not generally available to the public (e.g., through publications or open-source software) shall be deemed confidential (“ANYmal Confidential Information”).
For your work as ANYmal Researcher, we encourage you to attribute ANYmal Research for your papers, posters, videos, presentations and other publications as follows: “This work has been conducted as part of ANYmal Research, a community to advance legged robotics.”
Unless permitted in writing by the Hosts, you agree not to disclose, publish, or disseminate any ANYmal Confidential Information to anyone other than employees working in your organization or any affiliate of said organization who require access to ANYmal Confidential Information to properly perform their duties. For sake of clarity, an affiliate is any organization controlling, controlled by, or under common control (50% or higher) of your organization. Employees of affiliates shall be bound by the same confidentiality provisions contained in this agreement. You further agree to undertake reasonable precautions to prevent any unauthorized use, disclosure, publication, or dissemination of ANYmal Confidential Information. You acknowledge that unauthorized disclosure or use of ANYmal Confidential Information could cause irreparable harm and significant injury to the Hosts that may be difficult to ascertain. Accordingly, you agree that the Hosts will have the right to revoke your ANYmal Research membership and to seek immediate injunctive relief to claim for damages and enforce your obligations under this Agreement in addition to any other rights and remedies they may have.
As an ANYmal Researcher, you shall use ANYmal Robot and ANYmal Confindential Information exclusively for research and development and demonstration purposes. ANYmal Confidential Information cannot be transferred to any other robotic platform other than ANYmal Robot, cannot be used to simulate any other robotic platform other than ANYmal Robot, and cannot be distributed to third parties without prior written consent by the Hosts. A transfer of the right to use or own ANYmal Confidential Information to an entity other than the undersigned requires prior written consent by the Hosts. While the Hosts may provide new ANYmal Information, you have no claim to updates and other software, algorithms, technical drawings, documentation, or other data that the Hosts develop or have removed from the ANYmal Research platform.
The ownership of the original ANYmal Research software packages remains with the Hosts. Ownership of software and other information developed by ANYmal Researchers that is shared among the ANYmal Research community remains with the original author. As an ANYmal Researcher, you decide whether to share your own algorithms, software, and other contributions publicly (e.g., publications, videos, open-source software etc.) or among the ANYmal Research community (exemplary agreement available at https://www.anymal-research.org/anymal_research_license.txt).
The Hosts may terminate or suspend you as an ANYmal Researcher at any time at the Hosts’ sole discretion with a notice period of 30 days. You may terminate your membership at any time, for any reason, by notifying the Hosts in writing with a notice period of 30 days. Upon any termination, you agree to destroy all ANYmal Confidential Information provided to you as an ANYmal Researcher with the exception of software purchased from the Hosts as provided at delivery or copies of ANYmal Confidential Information that are made pursuant to automated archival processes (backup tapes or other media stored electronically) in the ordinary course of business. At the Hosts’ request, you agree to provide certification of such destruction. Unless agreed otherwise in writing, it is your duty to protect the confidentiality of ANYmal Confidential Information for five years following the termination of this agreement.
ANYmal Information is provided by the Hosts “as is” and any implied warranties or fitness for a particular purpose are disclaimed. In no event shall the Hosts be liable for any direct, indirect, incidental, special, exemplary, or consequential damages caused by the use of ANYmal Information.
Nothing in this Agreement will impair the Hosts’ right to develop or distribute products, software or technologies that perform the same or similar functions as, or otherwise compete with, any other products, software or technologies that you may develop or distribute. In the absence of a separate written agreement to the contrary, the Hosts will be free to use any information, suggestions or recommendations you provide to the ANYmal Research community.
You agree that by registering as a member of ANYmal Research, no legal partnership or agency relationship is created between you, ETH Zurich, ANYbotics AG, and any other ANYmal Researchers, and you agree not to represent otherwise. As an ANYmal Researcher, you agree to use the “ANYmal Research” trademark on the ANYmal Robot and ANYmal Robot simulation tools. You agree not to use the trademarks "ETH Zurich", "ANYbotics", "ANYmal", "ANYdrive" or any other trademarks belonging or licensed to the Hosts or other ANYmal Researchers in any way without prior written consent.
If any provision of this Agreement is held to be illegal, invalid or unenforceable, in whole or in part, under any applicable enactment or rule of law, such illegality, invalidity or unenforceability shall not affect the remainder of this Agreement, and the Parties shall in good faith attempt to substitute a legal, valid and enforceable provision which achieves to the nearest extent possible the same effect as would have been achieved by the illegal, invalid or unenforceable provision.
This Agreement shall be subject to the laws of Switzerland. The sole place of jurisdiction is Zurich.
